Terms of Service

Last updated: [DATE]

These are our standard terms. They apply to the work in your signed proposal, and they are written to be read, not just signed. If your proposal says something different, the proposal wins for that point. "We", "us" and "The Found Agency" mean [LEGAL ENTITY NAME]. "You" means the hotel or company that has agreed the proposal.

1. What we do

We help small hotels get found by guests and by AI, and make sure bookings land with you rather than an online travel agency. The exact work, price and timing are set out in your proposal. Anything not listed there is not included, but we are happy to quote for it.

2. No guaranteed results

We promise the work we list: the fixes, the baseline and the reports. We do not promise a number of bookings, a level of revenue, or a ranking in search or AI answers. Those depend on things outside our control, including search engines, AI tools, booking platforms, seasonality and your own rates and availability.

3. What we need from you

If we are waiting on you, the timeline moves back by the same amount of time.

4. Fees and payment

Fees, currency and when they are due are in your proposal. Invoices are due by the date stated on them. If an invoice is more than 14 days overdue, we may pause work until it is paid. Fees do not include third-party costs such as ad spend, software, photography or booking platform charges unless the proposal says so. We will agree those with you before spending.

5. Ongoing (monthly) work

Monthly services start with a minimum term stated in your proposal. After the minimum term, either of us can end the arrangement with 30 days' written notice (email is fine). Work already delivered is still payable. Fees for the month in progress are not refunded.

6. Who owns what

You own your website, your listings, your accounts and your content, and anything we create specifically for your hotel once it is paid for. We keep ownership of our own templates, methods, tools and know-how, and you may use them as part of the work we deliver. Any accounts we opened on your behalf are in your name. Anything we were added to is removed at the end of the work.

7. Confidentiality

We each keep the other's non-public information private and use it only for the work. This does not apply to information that is already public, or that we have to disclose by law. It carries on after the work ends.

8. Case studies and references

We will only name you, show your results or use your logo in our marketing with your written consent to the exact wording. If you agreed to this in exchange for a discount, the proposal says so.

9. Third-party platforms

We work on platforms we do not run, such as Google, booking engines and online travel agencies. Their rules and features can change without notice, and we are not responsible for changes they make or for decisions they take about your listing or account. We will tell you if a change affects the work.

10. Our responsibility to you

We will do the work with reasonable skill and care. We are not liable for indirect or knock-on losses, such as lost bookings, lost profit or lost opportunity. Our total liability to you for any claim connected to the work is limited to the fees you paid us in the three months before the claim arose. Nothing here limits liability that cannot be limited by law.

11. Ending early

Either of us can end the work immediately in writing if the other seriously breaks these terms and does not fix it within 14 days of being told. If you end the work for that reason, we refund fees for work we have not yet delivered.

12. Changes and the whole agreement

Changes to the proposal or these terms must be agreed in writing, and an email reply saying "approved" counts. Together, the proposal and these terms are the whole agreement between us. If we update these terms, the version in force when you approved the proposal applies to your work.

13. Law

These terms are governed by the laws of [GOVERNING LAW], and its courts can settle any dispute. We would always rather talk first, so please tell us about a problem as soon as you see it.
